Definitions

• Affiliate partners:the person who signs an affiliate agreement with us and earns a commission.
• Players:refers to anyone who creates an account through an affiliate links.
• This agreement:terms of service for affiliate program as presented to the affiliates who sign up with us.
• This agreement:the affiliate agreement(commission contract)between us and affiliate partners which is made through this agreement.
• This program:this refers to the affiliate program provided by us to its affiliates.
• Affiliate activities:websites, blogs, SNS, email and other media used by affiliate partners to introduce us.
• Tracking links:special links that is only issued to affiliate partners and allows them to calculate players acquisition and affiliate commissions.
• Spam:deployment or use of any UMC (Unsolicited mass Communication) methods to generate unsolicited traffic.
• Net Revenue:profit or loss of a game played by players, excluding jackpot.

This agreement

Once you participate in this program, it means you agree with this agreement.
Please be sure to check and understand the contents before participating in this program.

By participating in this program, you agree to create and maintain our links.

The agreement period is indefinite from the time of registration.
We have the rights to terminate this agreement by notifying the affiliate partners of the termination.

We have the right to change or modify this agreement at any time without prior notice to you.
Confirmation of any changes or editions to this agreement remains you sole responsibility.

Your continued participation in this agreement following our posting of a change notice or new agreement on our site will constitute binding acceptance of the change.

We have the rights and obligations in this agreement shall take effect regardless of your agreement.

We do not bear responsibility for reasons due to or resulting from force majeure, governmental institutions or legal authorities.

If any matter contained in this agreement is deemed to be legally invalid, the other matters shall be construed or modified so as to remain in full force and effect as originally in effect.

We have the rights to terminate this agreement without prior notice if we deem an affiliate partners to be in violation of this Agreement or to be inappropriate.

Conditions

The affiliate partners with whom you contract must meet all of the following requirements.

• You declare that you are over 18 years of age.
• You are in full capacity and do not have any limitations in entering a legally binding agreement with us.
• Not engaged in any activity that would bring them into contact with the laws of either jurisdiction.
• Do not reside or operate in a country or region where affiliate activities related to blockchain or gambling are not permitted.
• All other terms and service contained in this agreement.

Any affiliate partners must agree to all of the following terms and service.

• You need to submit the identification if required by us.
• Any document required must be genuine.
• If there are any changes to the specified information we will immediately update the information to be consistent with the facts.
• Tracking links cannot be used for media that have not been pre-approved by us.
• Affiliate activities that we deem unsuitable will be terminated immediately.
• We will perform our obligations under this agreement only for commercial purposes to promote our services.
• You are not allowed to use a domain name that even part of our brand name without any pre-approved.
• Affiliate activities does not explicitly contain obscene or sexual content.
• Affiliate activities does not explicitly contain violent content or content that promotes violence.
• Affiliate activities does not explicitly contain the content that leads to various forms of discrimination such as ethnic or racial.
• Affiliate activities does not contain any explicit or potentially fraudulent content.
• Affiliate activities does not contain explicit or potential promotion of illegal activities.
• Affiliate activities does not contain explicit or potentially libelous.
• Affiliate activities does not contain the content that explicitly or potentially infringes on the intellectual property rights, trademarks or reputation of others.
• You shall not post tracking links on junk mail or spam.
• You shall not post tracking links in newsgroups that have not been pre-approved by us.
• You shall not post tracking links in chat rooms that have not been pre-approved by us.
• You shall not use tracking links for anything that uses bots.
• Only one medium can be used for one tracking links.
• If you are using multiple media or SNS accounts, you will need to apply several tracking links.
• Affiliate activities must contain accurate information about us.
• You are not allowed to use google adwords with any keywords that is directly related to us.
• You shall not authorize or encourage to anyone who resides in a country or region where blockchain or gambling is not allowed to use.
• Any manipulation to circumvent territorial blocks is a breach against this agreement and will void all commission to the affiliate.
• You shall not encourage anyone under the age of 18 or under the legal age to use this site.
• You shall not use your affiliate activities to get paid directly by players.
• You are not allowed to gamble in any of the products promoted by us through your own affiliate links or from the affiliate links of an associate who shares all or part of the commission with you or a third party.
• An Affiliate shall not be allowed to earn commissions from the activity of their own players account or through any related parties.
• All players accounts must be created by the players themselves.
• You shall not make affiliate activities not in good faith.

You acknowledge and accept that we have the right to change any part of the service at any time and in any manner.

Should fraudulent activity arise through a person directed to a site via your links, we have the right to retract the commissions paid to you at any time.

You are not allowed to gamble in any of the products promoted by us through your own affiliate links or from the affiliate links of an associate who shares all or part of the commission with you or a third party.

This shall include any individuals or playing groups from which you receive compensation or remuneration of any kind.

In the event of violation of this clause, we shall have the right to void all play and eliminate any earned commissions applicable from such play and terminate your registration as an affiliate and this agreement, as well as void any future play at us.

We have the right to make our own determination regarding any illegal or fraudulent activity or violation of this agreement by any affiliate partners. Our decision is final and cannot be challenged. We have the right to withhold all payments to our affiliate partners under this agreement.

Responsibilities of affiliate partners

Affiliate partners are responsible for placing tracking links on our approved referral sites to promote and drive players to our site and to introduce players to our site.

The affiliate partners are responsible for making sure that the tracking links is functioning properly.

If the tracking links is not functioning properly and the players is not officially linked, it will not be reflected as an earned players for the affiliate partners.

If the tracking links is improperly put into the referral medium or is not properly received by our web server, the players will not be reflected as an earned affiliate partners.

Affiliate partners are solely responsible for all issues that arise with their own customers and players.

You are allowed to introduce sub-affiliates.

It shall be the sole responsibility of the affiliate to ensure that sub-affiliates are aware and agree with this condition and with all other conditions relevant and applicable to sub-affiliates.

The affiliate hereby undertakes to fully inform and keep informed all sub-affiliates it introduces about all relevant details in relation to the operation of this agreement.In addition, you are solely responsible for any problems that may arise with your sub-affiliates.

Affiliate agreement

Applications to join the affiliate program can be submitted via email (support@climbpot.com).

You can only sign up as an affiliate partners once. (you can have multiple tracking links if your application is approved).

This agreement does not grant you an exclusive right or privilege to assist us in the provision of services arising from your referrals.

You cannot represent any our partners brands to make any commitment to your referred player, including all SEO related activities such as website meta tags, PPC and keyword tags without prior approval from us.

We have the right to contact and obtain the assistance from others at any time to perform services of the same or similar nature as yours.

You shall have no claims to affiliate revenue or other compensation on business secured by or through persons or entities other than you.

We have the right to review all affiliate applications and affiliate activities then to approve or deny applications at our sole discretion. We also have the right to deny any application that we have previously approved.

Your relationship with us is as independent contractors and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties.

You will have no authority to make or accept any offers or representations on our behalf.

You will not make any statement, whether on your site or otherwise, to contradict anything in this paragraph or be reasonably deemed to contradict this paragraph.

Termination & terms

The term of this agreement will take effect when affiliate partners receive confirmation of your acceptance to this program.

This will continue until either we or our affiliate partners notify the other party of our intention to terminate the agreement.

Affiliate partners are free to terminate the agreement at their own discretion.
You may cancel the contract at any time by sending an email to us.

You must remove and disable any links and return to us any confidential information and all copies of it in your possession.

All rights and privileges given to you in this agreement shall immediately terminate.

You will be entitled only to those unpaid referral fees if any earned by you on or prior to the date of termination, save where termination is as a result of your breach of terms of this agreement.

If you have failed to fulfill your obligations and responsibilities, we will not release to you the referral fees otherwise owing to you on termination.

We may withhold your final payment should there be any for a reasonable time to ensure that the correct amount is paid.

Termination will not relieve you from any liability arising from any breach of this agreement which occurred prior to termination.

Affiliate reward

Reward is based on the results of players who register through the referral media according to the reward system of this program.

Reward will be paid for all play by the players for as long as this agreement remains in effect.

All traffic generated by affiliate partners activity (registrations, deposits, net revenue, rewards, etc.)
will be referenced to the numbers displayed in backoffice.

Affiliate partners are responsible for all direct costs associated with acquiring players.

We have the right to adjust such payments from rewards to reflect overpayments or other deductions that were not previously deducted due to refunds or other reasons.

We also have the right to withhold payment of rewards until we have completed our investigation if we discover or suspect fraud by affiliate partners.

Negative earnings are carried forward to the next month.

We have the right to reject, close or suspend any players at our sole discretion based on the terms of service agreed to by the players.

Affiliate partners agree not to dispute any action taken against a players at our discretion.

We will not be held responsible for any errors in entering the cryptocurrency address of the reward remittance destination or for any errors in transmission.

Intellectual property right

All contents which is symbols, design, graphics, logos, trademarks, icons, text, sound, music, video, other material and source code on us are affiliates and third party partners will remain protected under related policies and international regulations.

You shall not use any information, content or software protected by these intellectual property rights for any purpose other than the original purpose.

Not limited to the terms in this agreement, you have no license or right over the intellectual property of website or contents on website.

You agree to not upload, copy, post, distribute information, software or other contents from website.

You agree to not hide or delete any intellectual or ownership rights of materials downloaded, printed or videotaped from us and services.

Limited rights

We provide you with a personal, non-exclusive, non-transferable license to use our trademarks for the duration of this agreement.

This license is valid only for banners displayed or posted on referral media and only in limited connection with play screens and videos.

The right to use the trademarks is limited to the use of banners, play screens and videos and tracking links as permitted by this license.

You shall not assert the invalidity, unenforceability or contest the ownership of the trademarks in any action or proceeding of whatever kind or nature.

By this agreement, we grant our affiliate partners the non-exclusive right to introduce us to their players in accordance with the terms of the service.

This agreement does not grant you an exclusive right or privilege to assist us in the provision of services arising from your referrals.

Affiliate partners are restricted from purchasing any domain name which uses all or part of any of trademarks or intellectual property.

Affiliate partners are also restricted from using all or part of any of their trademarks or intellectual property for purposes of search engine optimization.

We have the right to revoke the license described in this agreement at any time at our discretion and revocation for any reason is permitted.

Legal responsibility

Affiliate partners must ensure that any material posted on their site is legal and does not infringe the copyright or violate any intellectual property rights of others.

The ownership of this site and its contents are the property of us and no action or misconduct with respect to this agreement will result in any transfer to our affiliate partners.

The affiliate partners are solely responsible for the ownership, content and legal liability of the referral media.

You agree to indemnify, defend and hold us, our officers, employees, agents, shareholders, partners, members and other owners harmless from and against any and all claims, damages, liabilities, debts, costs and expenses, including attorney's fees, arising out of you are responsible for all such losses and shall indemnify yourself for all such losses.

This provision on indemnification is without prejudice to our separate action or claim against you under applicable laws.

• Any misrepresentation of a representation or warranty or breach of a covenant and agreement made by affiliate partners.
• Development, operation, and maintenance of affiliate partners and referral media, as well as the content of the products and services introduced in the referral media.
• All claims related to affiliate partners and referral media.
• Any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property or other proprietary rights of any third party.

Failure to strictly enforce any provision of this agreement will not waive our right to continue to enforce that provision or any other provision of this agreement.

No changes, additions, deletions, interlineation of these terms are permitted, and no officer, employee, agent of the company will orally modify or revoke any provision of these terms.

Disclaimers and limitation of liability, warranties

We make no representation that this site will operate uninterrupted or error-free.

Neither the company nor any person or service provider associated with the company shall be liable for any of the following

In no event shall the company, its affiliates, service providers be liable for any loss or damage arising out of the use of the website.

• Any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability.
• Any loss of profit (whether incurred directly or indirectly).
• Any loss of goodwill or business reputation.
• Any loss of data suffered, cost of procurement of substitute goods or services.
• Any other intangible loss
